Terms and conditions

These terms apply when your company uses ZVYAZ, the online ERP at app.zvyaz.com. They include our agreement on processing your company's data (section 10). Please read them before you create a company.

1. About these terms

ZVYAZ ("we", "us") provides the service. ZVYAZ is for businesses: by creating a company, you confirm you act for a business, not as a consumer, and that you may bind that business ("you") to these terms. Your own general terms don't apply unless we agree to them in writing.

2. Accounts and access

• Users sign in with a Microsoft or Google account. We don't store passwords.
• We review every new company before activating it, and may refuse or delay activation.
• You decide who has access to your company and in which role. You're responsible for what your users do, and for removing access when someone leaves.
• Tell us straight away if you suspect someone has unauthorised access.

3. The service

ZVYAZ is under active development. We may add, change or remove features, and we'll tell you in advance about changes that significantly reduce what the service does for you. The service is provided as it is: we do our best to keep it correct and available, but don't promise it's free of errors or interruptions.

4. Acceptable use

You won't, and won't let anyone else:

• use the service for anything unlawful, including fraudulent invoices or tax evasion;
• try to access other companies' data, or test or attack the service's security without our written permission;
• overload the service, for example with automated requests beyond normal use;
• resell the service, or copy or reverse-engineer it.

5. Your data

• Everything you enter into the service, and what it produces from it, is yours. We use it only to provide the service to you.
• Each company's data is kept separate from other companies on the platform.
• You can export most of your data as CSV files at any time, and download invoices and credit notes as PDFs.
• Fiscal records can't be deleted. Stock movements, orders, invoices, credit notes and supplier invoices are kept for at least 7 years. Mistakes are corrected with a new document, never by deleting the old one.

6. Your own responsibilities

ZVYAZ helps you calculate VAT and prepare tax figures, but you remain responsible for your invoices, tax returns and bookkeeping. Check your tax setup and the figures before you file anything, and ask your accountant or tax adviser when in doubt. We don't give tax advice.

7. Intellectual property

We own the service, its software and its design. You may use it for your own business for as long as these terms apply. If you send us feedback, we may use it freely.

8. Liability

• To the extent permitted by law, our liability is limited to direct damage. We aren't liable for indirect damage, such as lost profit, lost revenue, fines or business interruption.
• We aren't liable for damage caused by incorrect data or settings you entered, by documents or returns you didn't check, or by third-party services outside our control.
• These limits don't apply to damage caused by our intent or gross negligence.
• Report any damage to us in writing within 30 days after you discover it.

9. Ending the agreement

• You can stop using the service at any time by emailing us.
• We may end the agreement with 30 days' notice, or suspend your company immediately if you seriously breach these terms or to protect the service or other customers.
• After the agreement ends, ask us within 30 days and we'll give you an export of your data.

10. Data processing

Your data includes personal data, such as the names and contact details of your customers, suppliers and users. For that data you are the controller and we are the processor under the GDPR, and this section is our data processing agreement.

• We process personal data only to provide the service and support, on your instructions. Using the service as intended counts as your instruction.
• Everyone at ZVYAZ with access to personal data is bound to confidentiality.
• We protect it with encrypted connections and storage, role-based access, separation of company data, restricted and logged administrative access, and regular backups.
• We use carefully selected service providers for infrastructure, email delivery and sign-in, under contracts with equivalent data protection obligations. We'll tell you before we add or replace one, and you can object on reasonable grounds.
• We help you respond to privacy requests, and notify you without undue delay, and within 48 hours, of a personal data breach affecting your data.
• When the agreement ends, we return and delete personal data as described in section 9, except where the law requires us to keep it.

11. Changes and contact

We may change these terms and will email you about significant changes at least 30 days before they apply. If you don't agree, you can stop using the service before then. If part of these terms turns out to be invalid, the rest still applies. Questions? Email hello@zvyaz.com.
